Terms Of Agreement - Becoming An Affiliate

www.OnlineOrganizing.com is a service mark of Bradford, LLC (hereinafter known as "Bradford").

This agreement governs all interactions related to participation in the Bradford affiliate program, which is administered through ShareASale. The term of this agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party. Either the affiliate or Bradford may terminate this agreement at any time, with or without cause, by giving the other party written notice of termination. You, as an affiliate, are only eligible to earn referral fees on sales occurring during the term of this agreement.

Bradford may modify any of the terms and conditions contained in this agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on this site or at the ShareASale site. Modifications may include, for example, changes in the scope of available affiliate fees, fee schedules, payment procedures and program rules. If any modification is unacceptable to an affiliate, the affiliate’s only recourse is to terminate this agreement. Continued participation in the program following the posting of a change notice or new agreement on our site or the ShareASale site will constitute binding acceptance of the change.

Submission of this form constitutes an application for participation in our affiliate program. The staff at Bradford may approve or disapprove of any potential affiliate’s submission at our sole discretion. Bradford reserves the right to refuse to participation to any company for any reason. The potential affiliate will be notified in writing if the application is rejected. If an application is rejected, the potential affiliate is welcome to address the reasons for rejection and reapply at any time.

Any website may be considered for participation in our affiliate program. The affiliate does not have to offer organizing products or services to participate. However, certain sites have been deemed unsuitable for participation, including sites that:

Bradford will refuse all applications or signups from affiliates which we believe participate in spyware, adware or parasiteware techniques for driving traffic. Bradford reserves the right to research and investigate affiliates and their activities and, at our own discretion, determine whether or not these practices are in place. Affiliates found in violation of this policy will be immediately terminated from the program and will forfeit all commissions.

Upon signing up with our affiliate program at ShareASale, the affiliate will be able to post "banner links," and "text links."

Affiliate commissions are to be paid as outlined in our program details on the ShareASale website. Bradford reserves the right to offer any performance incentives or tiered commission structure – or to remove any incentives and change the commission structure at our discretion. You, as an affiliate, are only eligible to earn referral fees on sales occurring during the term of this agreement.

Bradford assumes no responsibility for the goods or services provided by any affiliate partner. Bradford disclaims all warranties, express or implied, relating to the products or services sold by other companies and purchased through this website including without limitation any implied warranty of merchantability, or fitness for a particular purpose or arising by statute, law, or trade dealing or usage. Bradford also will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this agreement or the program, even if we have been advised of the possibility of such damages. Further, Bradford’ aggregate liability arising with respect to this agreement and the program will not exceed the total referral fees paid or payable to the affiliate under to this agreement.

The affiliate agrees to indemnify and hold Bradford harmless from all claims, demands, and causes of action of any nature arising out of or based upon the products or services purchased through this website.

If it is judged that an affiliate has engaged in unethical business practices, he/she may be removed from our affiliate program and will forfeit rights to all affiliate commissions. Affiliate privileges may be revoked at any time at our sole discretion. You will be notified in writing if your affiliate link is de-activated for any reason. Bradford reserves the right to take other appropriate legal actions when deemed necessary. This agreement shall be deemed to have been entered into in the state of Maryland, and Maryland law shall apply to the interpretation and enforcement of this agreement. The advertiser submits itself to the jurisdiction of the courts of the state of Maryland for all actions arising out of this agreement.

You, as the affiliate, acknowledge that you have read this agreement and agree to all its terms and conditions. You, as the affiliate, understand that we may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this agreement or operate web sites that are similar to or compete with your web site. You, as the affiliate, have independently evaluated the desirability of participating in the program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.

By submitting the attached ShareASale registration form, the participating professional/company acknowledges, understands, and accepts these terms of agreement.
